The name of this organization shall be the San Francisco District 5 Democratic Club (hereinafter "the Club").

The purpose of the Club shall be to:

1. Advocate for the interests of San Francisco’s District 5 and District 5 Democrats by advancing progressive values, supporting Democratic candidates and causes, and strengthening community engagement.

The Club shall apply for and maintain a charter as a full affiliate of the San Francisco Democratic County Central Committee (hereinafter “SF DCCC”) and shall seek affiliation with the California Democratic Party (hereinafter “CADEM”).

There shall be two categories of membership:

A. Voting Member: An individual qualifies as a Voting Member if they meet all of the following criteria:

1. Are a registered Democrat, or intend to register as a Democrat when eligible, including non-citizens and residents with no legal immigration status.
2. Reside in, work in, or maintain meaningful involvement or demonstrated commitment to the civic, cultural, or social life of San Francisco Supervisorial District 5.
3. Support the purpose of the Club as stated in Article II.
4. Have paid all current Club dues, except in the case of economic hardship.
5. Have attended at least two (2) Club meetings or qualifying events within the 12 months prior to the vote.

B. Associate Member (Non-Voting): Any individual who supports the purpose of the Club but does not meet all the qualifications for a Voting Member. Associate Members may attend and speak at meetings but cannot vote, make motions, or hold office.

All requirements or tests of membership shall be explicitly stated in the Club’s bylaws. No additional tests or oaths of loyalty shall be imposed, nor shall any requirement have the effect of discriminating on the basis of race, color, creed, national origin, physical ability, sex, age, religion, ethnic identity, sexual orientation, or economic status.

Dues shall be recommended by the Executive Board and presented to the General Membership for approval at the first meeting of each calendar year.

Dues are due on January 1 and payable by January 31 of each calendar year. Dues paid by new members after October 1 shall be applied through the following calendar year.

Payment of dues shall not be obligatory for anyone for whom it constitutes an economic hardship, subject to approval by the Executive Board.

The elected officers of the Club (the "Officers") shall be:

• President
• Vice President
• Secretary
• Treasurer
• Chairperson(s)

Officers shall be elected at the Annual Meeting in the first quarter of the year by a majority vote of the Voting Members present. They shall serve one-year terms.

A. President: Shall preside at all Club meetings, serve as the chief executive officer and spokesperson, and appoint committee chairs with the consent of the Executive Board.

B. Vice President: Shall serve in the President's place as needed and shall chair the Program Committee.

C. Secretary: Shall keep minutes of all Club and Executive Board meetings and maintain all written records.

D. Treasurer: Shall maintain all financial records, manage bank accounts, collect dues, file all required financial (FPPC/FEC) reports, and provide a financial report at each meeting.

E. Chairperson(s): The chairperson of each Standing Committee shall also serve as a Club officer.

If an office becomes vacant, the Executive Board shall appoint a successor to serve the unexpired term, subject to confirmation by the membership at the next regular meeting.

An officer may be removed from office for cause (such as non-performance of duties or missing three consecutive meetings) by a two-thirds (2/3) vote of the Voting Members present at a regular meeting. The officer must be notified of the pending action at least seven (7) days in advance of the meeting.

The Executive Board shall be composed of the elected Officers and the Chairs of all Standing Committees.

The Executive Board shall manage the affairs and business of the Club between general meetings, set the agenda for meetings, and implement the Club's goals. All actions of the Executive Board are subject to review by the general membership.

Executive Board meetings shall be held at least ten (10) times per year. A quorum shall be a majority of the Executive Board members.

The Executive Board may exercise its authority only by a majority vote. In the event of a tie vote, the President may cast two votes. If the President is not present at the meeting then the Vice President may cast the deciding vote.

The Club shall hold regular membership meetings at least four (4) times per calendar year.

Special meetings may be called by the President, by a majority of the Executive Board, or by written request of ten (10) Voting Members.

Notice for any regular or special meeting shall be given to all members at least seven (7) days in advance via email, U.S. mail, or telephone. The notice must include the date, time, place, and agenda.

A quorum for any general membership meeting shall be ten (10) Voting Members or 15% of the total Voting Membership, whichever is greater.

The newly revised Robert's Rules of Order shall govern parliamentary procedure at all meetings, except where they conflict with these Bylaws.

The Standing Committees of the Club shall include:

1. Membership: Keeps membership records, verifies eligibility, inducts new members, and assists the treasurer in collecting dues.
2. Political Action: Coordinates the Club’s collective political actions including lobbying activities, and voter registration campaigns.
3. Media & Technology: Manages the Club website, newsletter, social media, and public relations.

A Standing Committee may be created by an amendment of the bylaws.

The President may appoint Special (Ad-Hoc) Committees as needed, with the consent of the Executive Board.

The Club may only consider for endorsement candidates who are registered Democrats.

• A. Quorum: The quorum for any meeting at which endorsements are voted upon shall be 15% of the total Voting Membership or ten (10) Voting Members, whichever is greater.
• B. Notice: Notice for an endorsement meeting shall be sent at least seven (7) days prior and must specify the offices and propositions to be voted on.

• A. Candidates & Propositions: An endorsement requires a sixty percent (60%) vote of the Voting Members present and voting.
• B. "No Endorsement": The option of "No Endorsement" shall be included as a choice for every race and ballot measure. If "No Endorsement" receives 60% of the vote, it shall be the official position of the Club. If no candidate or position reaches the 60% threshold, the Club's position is "No Position" or "No Recommendation".

For races decided by Ranked-Choice Voting (e.g., Mayor, Board of Supervisors), the Club shall use the following procedure to determine its ranked endorsements:

1. Members shall rank their choices on the ballot.
2. To begin, every first-choice selection is counted. If a candidate receives sixty percent (60%) of the first-choice votes, they are endorsed as the #1 choice.
3. If no candidate receives 60%, the process shall simulate the San Francisco election. The candidate with the fewest first-choice votes is eliminated.
4. Ballots for the eliminated candidate are transferred to their second choice.
5. This process of elimination and vote-transfer is repeated until a candidate reaches a majority (50% + 1) of the votes.
6. The candidate who reaches the majority (50% + 1) is endorsed as the Club's #1 choice.
7. The candidates with the second and third most votes at the time the winner is declared shall be endorsed as the Club's #2 and #3 choices, respectively.

The Club shall abide by the CADEM’s Code of Conduct and the policies for sexual harassment of the SF DCCC.

Representatives of the Club to the California Democratic Party (CADEM) Pre-Endorsement Conferences shall be selected by the Executive Board. Any representative chosen must be a Voting Member in good standing.

These Bylaws may be amended by a sixty percent (60%) vote of the Voting Members present at a regular meeting. The proposed amendment must have been presented to the membership at the preceding regular meeting, and written notice of the proposed change must be sent to all members at least seven (7) days prior to the vote.

Upon the dissolution of the Club, all unspent funds, after all liabilities are paid, shall be donated to the SF DCCC or another Democratic organization or nonprofit charity approved by a final vote of the Board.
